Seedly Software License.

1. Scope and your existing purchases

This license describes the rights granted by Andrew Lee Jenkins LLC for Seedly software codebases, documentation, template packs where included, and releases supplied to the purchaser. Each purchase licenses only the products identified in the order. Buying one product does not license the other products.

This license applies to new purchases under this version. It does not replace the agreement accepted for an earlier purchase. The purchase agreement and license file delivered with an earlier order continue to govern that order. For a new Sites or Linkd purchase, the license file delivered with the product controls product-use rights if it conflicts with this page, except for the documentation grant described below.

2. License grant

After payment or a qualifying complimentary grant, you receive a perpetual, non-exclusive, non-transferable license to use, copy, and modify the licensed source code for the permitted purposes below. You may create derivative works for your own use and permitted client use. The license is subject to its restrictions and termination provisions. Subject to the product-specific limits below, you may deploy the licensed product in unlimited personal and client projects.

You receive a licensed copy of the source code, not ownership of Seedly’s original intellectual property. Third-party libraries remain subject to their own licenses and notices. Source access does not mean the Seedly product is licensed for public redistribution or as open-source software.

3. Seedly CRM and Dispatch

You may deploy Seedly CRM for your business and permitted client projects, with unlimited seats and white-label client sub-accounts. Your clients are your customers, not Seedly’s. You manage your deployment, client relationships, and communications providers.

Dispatch is a separately purchased add-on requiring a compatible, licensed Seedly CRM installation. Purchasing Dispatch does not include a CRM license. Dispatch use remains subject to the applicable CRM terms and any license supplied with the add-on.

4. Seedly Sites

One Seedly Sites license covers one agency. You may run unlimited client websites on your deployment, sell the sites you create and host, and give your clients access to edit their own sites. You may rename and brand your deployment.

You may not give another agency, reseller, or service provider access to your deployment so it can build or host sites for its own clients. That business requires its own license. This restriction does not prevent your own clients from editing their sites or contractors from working for you.

You and your clients retain rights in the websites, content, and exports you create, divided according to your own agreements. Published sites may include the small portions of the product necessary for those sites to run. Those portions may travel with the client site to other hosting, but may not be extracted to distribute the platform.

You may sell original add-on modules that do not contain the Seedly Sites source code, template packs, or substantial portions of either. Employees and contractors may access your copy solely to work for you. They receive no independent license, may not reuse the code for other customers, and may not retain it after their work ends. You remain responsible for their compliance.

5. Seedly Communities

You may run communities with unlimited members on a deployment you control. Your community members are your users, not Seedly’s. You manage your community rules, moderation, privacy notices, payments, and support.

Membership and course payments run through your own payment-provider account. Video and other connected services are separately contracted and billed. A license to Communities does not include a license to CRM or Sites. Seedly charges no platform fee on those member payments and does not receive, hold, or process them. Refunds, disputes, and taxes on member payments are your responsibility under your agreement with the provider.

6. Seedly Linkd

One Linkd license covers one agency. You may operate unlimited instances for that agency and its clients, charge clients for services that use those instances, modify and rebrand the software, and build and sell original add-on modules that do not redistribute the Linkd code. Your clients may open their access links and your employees and contractors may work on your copy for you. Another agency using your deployment to collect access from its own clients requires its own license.

The client access requests, statuses, shared account lists, notes, and history held in your deployment belong to you and your clients under your own agreements. You are responsible for permissions and for obtaining and maintaining any third-party provider approvals required by the connection features. Future releases are included when made available, with no release schedule or support obligation. The delivered Linkd commercial license controls its product-use rights, termination conditions, and product-specific liability cap.

7. Documentation and branding

For each product you have licensed, you may rebrand, edit, and republish its documentation as documentation for your own offering built on that licensed product. A substantially unchanged documentation page published openly must either use a noindex directive or declare the matching original Seedly page as canonical. That condition does not apply to documentation substantially rewritten in your own words.

This documentation permission does not authorize redistribution of the source code. White-label rights do not transfer Seedly trademarks, mascot artwork, or other brand assets. Preserve required copyright and license notices in the source and comply with third-party attribution requirements.

8. Restrictions

Do not resell, sublicense, publish, share, or redistribute the original or modified product source code or a substantial part of it. Do not turn it into a competing template, starter kit, boilerplate, or other product whose users receive that code. The specific Sites client-output and contractor permissions above remain available.

Do not share download links, license keys, or download-account credentials outside the permissions of your applicable product license. Do not transfer the license or claim authorship or ownership of Seedly’s original code.

9. Updates and your responsibilities

You choose when to install releases and are responsible for reviewing changes, protecting customized code, maintaining backups, and testing before deployment. New releases can require migration or manual integration work.

Critical fixes may be released through the download mechanism at our discretion. There is no promised schedule, obligation to add new features, or guarantee of backward compatibility. No hosting, implementation, custom development, or ongoing maintenance service is included unless expressly agreed in writing. Sites support is not included; community help and email responses may be offered as a courtesy.

10. Termination

For CRM, Communities, and Dispatch, we may terminate your source license or Seedly-operated service access if you violate the applicable terms. We may revoke a license key and further downloads or updates for a violation, including unauthorized source-code distribution. When a source license terminates, you must stop using and destroy copies covered by that termination. The agreement accepted for an existing purchase continues to govern that purchase.

For Sites and Linkd, the product license terminates automatically for a material breach of its restrictions, a full refund, or a final full payment reversal following a lost dispute. A partial refund, open dispute, or dispute Seedly wins does not itself terminate those licenses. Sites client output already delivered remains subject to the client-output rights described above. Linkd client records remain the property of the licensee and its clients under their own agreements.

Intellectual property, restrictions, liability provisions, governing law, and any provisions intended to survive continue after termination. Nothing in this license excludes rights or remedies that applicable law does not allow the parties to exclude.
