Referral Program Terms.

The consolidated Seedly referral program rules, preserving the existing reward and payout terms.

1. Eligibility

The program is operated by Andrew Lee Jenkins LLC. Eligible participants include purchasers in good standing and non-purchasers who enroll through the affiliate program or Learning Center and confirm their email. Participants must be able to lawfully receive payments and provide required tax and payout information. The program is void where prohibited.

2. Reward rate and attribution

The standard reward is 41% of the qualifying order amount actually paid, net of discounts and excluding taxes, refunds, and adjustments. A written partner rate overrides the standard rate. The rate is fixed when the qualifying purchase occurs. Referral codes attribute a purchase; they do not give the buyer a discount. The reward applies to the full qualifying order when products are purchased together, and there is no limit on the number of qualifying purchases.

A qualifying order must be made by a new customer through your code or link and be fully paid, settled, and not subject to a refund, chargeback, dispute, reversal, or cancellation. Self-referrals, alternate accounts, affiliated-party purchases, fraud, spam, misrepresentation, unauthorized advertising, and trademark bidding do not qualify. Seedly determines qualification and attribution using its purchase records.

3. Reversed purchases

If a referred order is refunded, charged back, or reversed, the related reward is void. An amount already paid may be recovered or deducted from future rewards. The participant is also disqualified from earning further referral rewards and the referral code may be deactivated, subject to applicable law.

4. Payout details and deadlines

Payments are made through PayPal. Provide your legal name or business name, a valid supported PayPal account, and the required signed tax documentation, including Form W-9 or the applicable W-8 form. Additional information may be requested for tax reporting.

Complete payout information is due within 60 days after it is requested or the reward is first earned, whichever is earlier. Failure to supply it forfeits the corresponding reward, with reinstatement at Seedly’s discretion. You are responsible for accurate details and your own taxes. Required withholding and reporting may apply.

5. Payment timing

Cash rewards have a 45-day holding period after the qualifying purchase. This is not a customer refund window. After the period ends and payout details are verified, Seedly makes reasonable efforts to pay within a commercially reasonable time.

PayPal fees, conversion, restrictions, and account errors can affect the amount received or delivery. If payment is returned or fails, supply corrected details within 90 days of the attempt. Amounts that remain unpayable after that period may be forfeited to the extent permitted by law.

6. CRM license option

Instead of cash, you may exchange the unpaid rewards on two qualifying purchases by two different customers for a Seedly CRM license. Each order must include CRM, Sites, Communities, or Dispatch. An order containing only the Operator’s Guide does not qualify. Forfeited or already paid rewards cannot be used.

Contact support to identify the two orders. The 45-day holding period applies to cash, not this option; the license can be issued after both orders are fully paid. Issuing the license settles those two rewards, which cannot then be converted back to cash. The license is personal and non-transferable and uses the normal CRM license terms. You may use this option more than once, with a different pair of qualifying purchases each time.

If either order is later reversed, the license may be revoked. You may retain it by paying the cash reward earned by the reversed order within 30 days after notice. The reward value may be reportable as income.

7. Disclosure and conduct

Disclose your financial relationship clearly when recommending Seedly. Do not make unsupported product claims, imply you speak for Seedly, or use misleading promotions. Fraud, manipulation, or violations may lead to withheld or recovered rewards and suspension or termination.

8. Program changes and legal terms

Seedly may change, suspend, or end the program. Properly earned and documented rewards remain subject to the terms in effect when earned, including eligibility and submission deadlines. The program does not create employment, agency, or partnership. Rewards and codes are personal and non-transferable.

To the extent permitted by law, program liability is limited to properly earned, documented, unpaid rewards, and excludes indirect, incidental, consequential, and special damages. Virginia law applies, and state and federal courts in Virginia are designated for disputes, subject to mandatory legal protections.
